01. Introduction & Acceptance
Welcome to Shams Digital, the software development division of Shams Al Jubail Co., located in Jubail Industrial City, Kingdom of Saudi Arabia. By engaging our services, accessing our website at digital.shamscon.com, or signing any proposal or purchase order with us, you agree to be fully bound by these Terms & Conditions.
These Terms govern all services including web application development, mobile app development, ERP systems, AI solutions, e-commerce platforms, and related consulting or support services.
If you do not agree to these Terms, please do not engage our services.
02. Definitions
- “Company” refers to Shams Digital, a division of Shams Al Jubail Co.
- “Client” refers to the individual, business, or entity engaging our services.
- “Project” refers to any software, application, system, or digital product agreed upon between both parties.
- “Deliverables” refers to all work products, code, designs, and documentation produced for the Client.
- “PO” or “Purchase Order” refers to the formal project agreement signed by both parties.
03. Scope of Services
Shams Digital provides the following services:
- Custom Web Application Development (React, Next.js, full-stack platforms)
- Mobile Application Development (iOS, Android, cross-platform)
- ERP & Business Management Systems
- AI Solutions, Chatbots & Automation
- E-Commerce Platform Development
- Cloud Infrastructure & DevOps
- UI/UX Design & Prototyping
- Technical Consulting & Project Management
The exact scope of work for each Project will be defined in a written proposal or Statement of Work (SOW) agreed upon by both parties before commencement.
04. Project Engagement Process
All projects follow a structured engagement process:
- Discovery & Requirements: Client provides detailed project requirements.
- Proposal & Quotation: Company prepares a detailed proposal with scope, timeline, and cost.
- Agreement: Both parties sign/approve the proposal or PO.
- Payment Initiation: Upfront payment is received before work begins.
- Development: Work proceeds in agreed phases or milestones.
- Delivery & Launch: Final deliverables are handed over upon completion of all payments.
05. Client Responsibilities
To ensure successful project delivery, the Client agrees to:
- Provide accurate, complete, and timely project requirements and feedback.
- Designate a primary point of contact for communication.
- Provide necessary access to systems, accounts, or content as required.
- Review and approve deliverables within 5 business days of submission.
- Make payments as per the agreed schedule.
Delays caused by the Client's failure to provide requirements, feedback, or approvals on time may result in revised timelines and/or additional charges.
06. Intellectual Property
Ownership Upon Full Payment
Upon receipt of full and final payment, the Client receives full ownership of all custom code and Deliverables created exclusively for that Project.
Company Retained Rights
Shams Digital retains ownership of all pre-existing frameworks, libraries, tools, templates, and methodologies used in development. We also retain the right to display the completed Project in our portfolio unless the Client requests confidentiality in writing.
Third-Party Components
Open-source libraries and third-party tools may be used in development. Their respective licenses apply and are the Client's responsibility to comply with post-delivery.
07. Confidentiality
Both parties agree to keep confidential all proprietary information, business data, technical details, and trade secrets shared during the engagement. This obligation continues for 3 years after project completion.
Shams Digital will not share Client's business information, data, or project details with any third party without written consent, except where required by law.
08. Timeline & Delivery
Project timelines will be agreed upon in the signed proposal. Timelines may be affected by:
- Delayed or incomplete requirements from the Client.
- Change requests submitted after project commencement.
- Force majeure events beyond reasonable control.
- Third-party service delays (hosting, APIs, etc.).
Any significant changes to scope during development will require a Change Request, which may affect timeline and cost.
09. Payment Terms
Standard Payment Structure
- 25% of total project value is due along with the Purchase Order (PO) before work commences.
- 75% is due upon project Go-Live, launch, and final implementation.
For larger or modular projects, payment schedules will be customized per project and agreed upon in the signed proposal, with milestone-based payments tied to completion of specific modules or phases.
Accepted Payment Methods
- Bank transfer (preferred for invoice-based billing)
- Cash (for in-person transactions in Jubail)
- Online payment (as agreed per project)
All invoices are issued under Shams Al Jubail Co. Late payments may result in project suspension until the balance is cleared.
10. Warranties & Limitation of Liability
A warranty period of 30 days post-launch is provided for bug fixes directly related to the agreed scope. This does not cover:
- Issues caused by Client modifications after delivery.
- Third-party service failures.
- New feature requests or scope additions.
Shams Digital's total liability shall not exceed the total amount paid by the Client for the specific Project.
11. Termination
Either party may terminate a Project with 14 days written notice. Upon termination:
- The Client shall pay for all work completed to date.
- Shams Digital will deliver all completed work paid for.
- Upfront payments are non-refundable unless no work has commenced.
12. Governing Law
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be subject to the jurisdiction of the competent courts of Jubail, Eastern Province, Saudi Arabia.
